Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the SaaSRival platform (“Service”) provided by SaaSRival (“Company,” “we,” “us,” or “our”). By creating an account or accessing the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement. Please read them carefully. Questions? Email legal@saasrival.com.


1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use SaaSRival. By using the Service, you represent and warrant that you meet these requirements.

If you are accessing SaaSRival on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In such cases, “you” refers to both the individual and the entity.


2. Description of Service

SaaSRival is a competitive intelligence platform that aggregates and analyses publicly available data about SaaS companies, including advertising spend estimates, ad creatives, revenue estimates, technology stack signals, and audience demographics.

The platform is intended for SaaS founders, growth marketers, investors, and product teams who wish to understand competitive landscapes and market trends.

Important: Data Accuracy Disclaimer

All revenue estimates, ad spend figures, and intelligence data displayed on SaaSRival are estimates derived from public signals. They are not audited financial data. Do not make investment decisions, acquisition offers, or legal actions based solely on data from this platform. We provide no warranty of accuracy, completeness, or fitness for any particular purpose.


3. Accounts & Registration

To access most features of SaaSRival, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorised use of your account at legal@saasrival.com
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or that have been inactive for more than 24 consecutive months.


4. Subscription Plans & Billing

Prices are in USD and exclude applicable taxes. Enterprise pricing may be negotiated via custom contract.

4.2 Auto-Renewal

All paid subscriptions automatically renew at the end of each billing period (monthly or annual). By subscribing, you authorise SaaSRival (via Stripe) to charge your payment method for the renewal amount. You will receive a reminder email at least 7 days before annual renewal. You may cancel auto-renewal at any time through your account settings or by emailing legal@saasrival.com.

4.3 Upgrades & Downgrades

  • Upgrade: Takes effect immediately; you are charged the prorated difference for the remainder of the current billing period.
  • Downgrade: Takes effect at the end of the current billing period. No partial refund is issued for unused time on the higher plan.

4.4 Cancellation Policy

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you retain full access until then. We do not provide refunds for partial billing periods, except:

  • Where required by applicable consumer protection law in your jurisdiction
  • At our sole discretion in cases of billing error or significant service outage

4.5 Free Trial

We may offer free trial periods for paid plans. Unless you cancel before the trial ends, your payment method will be charged at the standard rate upon trial expiry. Trial periods cannot be combined and are limited to one per person or organisation.

4.6 Failed Payments

If a payment fails, we will attempt to retry up to 3 times over 7 days. If the payment remains outstanding, we reserve the right to downgrade your account to the Free tier and suspend access to paid features until the balance is settled.


5. Acceptable Use Policy

You agree to use SaaSRival only for lawful purposes and in accordance with these Terms. The following are prohibited:

Prohibited Actions
  • Scraping or bulk extraction: Automated scraping, crawling, or bulk downloading of data from the SaaSRival platform, including via scripts, bots, or APIs not authorised by us.
  • Reselling data: Redistribution, resale, or sublicensing of SaaSRival data, reports, or exports to third parties without our written consent.
  • Competitive intelligence for competitors: Using SaaSRival to build a competing competitive intelligence product or database.
  • Account sharing: Sharing login credentials between multiple individuals to circumvent per-seat pricing (applies to plans that specify per-user access).
  • Circumventing access controls: Attempting to access features, data, or API endpoints beyond your plan tier through technical means.
  • Illegal uses: Using the Service for any purpose that violates applicable law, including using competitor data to engage in market manipulation, defamation, or tortious interference.
  • Abuse of the free tier: Creating multiple free accounts to obtain paid-tier feature access.

Violation of this policy may result in immediate account suspension without refund. We reserve the right to seek injunctive relief and damages for violations that cause us harm.


6. Intellectual Property

6.1 Our Property

The SaaSRival platform, including its design, user interface, algorithms, revenue estimation engine, proprietary data enrichment pipelines, software code, trademarks, and branding, is owned by SaaSRival and protected by copyright, trade secret, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during your subscription period.

6.2 Public Data

The underlying data in our intelligence database is sourced from publicly available information. We make no claim of ownership over the underlying facts about third-party businesses. Our intellectual property claim relates to the selection, curation, structuring, transformation, and presentation of that data as a coherent product.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an irrevocable, royalty-free, worldwide licence to use that feedback for any purpose, including to improve the Service, without obligation to you.

6.4 Third-Party Trademarks

Company names, logos, and trademarks displayed in SaaSRival’s database belong to their respective owners. Their presence in SaaSRival does not imply any affiliation, endorsement, or partnership with us.


7. Data Accuracy & Disclaimer of Warranties

No Accuracy Guarantee

Revenue figures, ad spend estimates, MRR projections, and all other financial metrics on SaaSRival are algorithmic estimates based on public signals. They are not verified by the companies they describe and are not financial advice. Actual figures may differ materially. SaaSRival disclaims all liability for actions taken based on estimated data.

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties, in which case this disclaimer applies to the fullest extent permitted by law.


8. Limitation of Liability

Liability Cap

To the maximum extent permitted by applicable law, SaaSRival’s total aggregate liability to you for any claims arising from or related to the Service shall not exceed the greater of (a) the total fees you paid to SaaSRival in the 12 months preceding the claim, or (b) $100 USD.

In no event shall SaaSRival, its officers, directors, employees, or affiliates be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Decisions made by you or third parties based on data from the Service
  • Service interruptions, data loss, or unauthorised access to your account

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, etc.) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow limitations on certain damages, so this limitation may not apply to you in full.


9. Indemnification

You agree to defend, indemnify, and hold harmless SaaSRival and its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any data, content, or materials you submit to or through the Service

10. Third-Party Services & Links

SaaSRival integrates with and links to third-party services including Stripe, PostHog, Supabase, and the Meta Ads Library. Your use of these services is governed by their respective terms of service and privacy policies. We are not responsible for the practices, availability, or content of third-party services.

Ad creatives displayed within SaaSRival are served via official Meta Ads Library embed URLs. Meta’s terms govern the content of those advertisements. We do not control, endorse, or guarantee the accuracy of ad content from third-party advertisers.


11. Dispute Resolution

11.1 Informal Resolution First

Before filing a formal claim, you agree to contact us at legal@saasrival.com and attempt to resolve the dispute informally. We will respond within 15 business days. Most issues are resolved at this stage.

11.2 Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising from these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of those courts.

11.3 Class Action Waiver

To the extent permitted by applicable law, you waive the right to participate in a class action, class arbitration, or representative action against SaaSRival. All claims must be brought in your individual capacity only.

11.4 EU & UK User Rights

Nothing in this section limits your statutory rights as a consumer under EU or UK law, including your right to bring claims in your local courts. For EU users, the European Commission’s Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.


12. Termination

Either party may terminate these Terms at any time.

  • You may terminate by cancelling your subscription and deleting your account through the account settings page.
  • We may terminate or suspend your access immediately, without prior notice or liability, if you breach these Terms or if we are required to do so by law.

Upon termination, all licences granted to you under these Terms will immediately cease. Sections that by their nature should survive (Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Dispute Resolution) will survive termination.


13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Order Forms or Enterprise agreements, constitute the entire agreement between you and SaaSRival and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver is only effective if in writing and signed by an authorised representative of SaaSRival.

13.4 Force Majeure

SaaSRival shall not be liable for failures or delays in performance resulting from causes beyond our reasonable control, including acts of God, internet outages, third-party API failures, cyberattacks, or government actions.

13.5 Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
